Element Technologies, LLC ("Element", "we," "our," or "us") is committed to protecting your privacy. This Privacy Policy describes how we collect, use, disclose, and safeguard personal information when you visit www.ele-ment.com (the "Website"), submit inquiries or requests to us, or engage with our managed IT services and technology consulting to law firms, corporate legal departments, and other professional-services organizations.

‍This Policy is intended to satisfy the disclosure requirements of the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (together, "CCPA/CPRA"), and applicable Minnesota law. It applies to California residents and, as a matter of good practice, to all other visitors and contacts.

‍Element is a subsidiary of New Charter Technologies, Inc. If you are an Element client, you may receive services from one or more New Charter affiliates as described in your services agreement.

‍When we process personal information on behalf of our business clients, we act as a service provider or processor. We process such data solely on behalf of and under the instructions of the client. Individuals should direct requests regarding such data to the relevant client.

By accessing the Website or submitting information to us, you acknowledge that you have read and understood this Policy.

2. Information We Collect

‍ ‍A. Information You Provide Directly. When you complete our Contact Us form, subscribe to our newsletter, or communicate with us by phone or email, we may collect:

C. Information Collected Through Service Delivery. When Element provides managed IT services and technology consulting to law firms, corporate legal departments, and other professional-services organizations, we may collect and process information necessary to deliver those services, including:

•      Business contact information for client personnel (name, email, phone, job title).

•      Client Systems Data: data stored in, transmitted through, or accessible via client systems that we monitor, manage, or support as part of our services, which may include business contact data, end-user data, system logs, and operational data.

•      Support and Communications Data: helpdesk tickets, escalation details, and call records. When you contact us by phone, we may collect identifying information and information needed to address your support request. Support ticket data is stored in our professional services automation platform (ConnectWise Manage).

•      Device and Environmental Data: device identifiers, configuration data, performance metrics, and security-related telemetry collected from managed systems.

‍We do not knowingly collect sensitive personal information as defined by CPRA (Cal. Civ. Code § 1798.140(ae)), such as account credentials, racial or ethnic origin, health data, biometric data, or the contents of private communications, through the Website or our standard service delivery processes.

3. Tracking Technologies and Cookies‍

We use the following third-party tracking technologies on the Website. These technologies may collect or receive information from the Website and use that information to provide analytics or advertising services. The transmission of visitor data to these platforms may constitute "sharing" of personal information under CCPA/CPRA.

‍•      HubSpot: a customer relationship management and marketing platform. HubSpot collects contact form submissions, newsletter sign-ups, and website visitor behavior to support our sales and marketing activities; HubSpot may collect and share with us your precise geolocation.

•      Mindmatrix: a partner marketing-automation platform loaded on our current website via a header script referencing mindmatrix.net / ncportal.amp.vg. Mindmatrix tracks page views and interactions to support partner marketing programs.

•      Squarespace: our current website hosting platform. Squarespace processes standard hosting logs, including source IP address, for site delivery and security.

•      Cloudflare: content delivery, email-address obfuscation, and abuse protection. Cloudflare processes source IP addresses at the network edge as part of site delivery.

You may manage cookie preferences through the consent banner presented when you first visit the Website. You may also configure your browser settings to refuse cookies, though doing so may affect Website functionality.

We honor legally recognized universal opt-out signals, such as Global Privacy Control (GPC), where required by applicable law. We also support your right to limit the use of cookies through the consent banner described above.

We do not sell personal information for monetary consideration. We do not engage in cross-context behavioral advertising or retargeting of past visitors on other websites.

4. How We Use Your Information

We use the personal information we collect for the following business purposes:

•      Service delivery: responding to inquiries, providing our services, managing support tickets, and communicating with you about your account or engagement.

•      Marketing and communications: sending newsletters and promotional materials about our services. You may opt out at any time.

•      Analytics and improvement: analyzing Website traffic and usage patterns to improve our Website and service offerings.

•      Security and fraud prevention: detecting, investigating, and preventing fraud, unauthorized access, cybersecurity incidents, and other harmful or illegal activity, including preserving the integrity or security of systems.

•      Remote support and administration: accessing systems, devices, and data within client systems to diagnose and resolve issues as part of our managed services.

5. Disclosure of Your Information

We do not sell your personal information. We may disclose your personal information to the following categories of recipients:

•      Service providers and business partners: third parties that perform services on our behalf, including HubSpot (CRM and marketing automation), Mindmatrix (partner marketing automation), Cloudflare (content delivery and abuse protection), ConnectWise Manage (professional services automation), and Squarespace (website hosting). These parties receive only the personal information necessary to perform their functions and are subject to written data protection obligations restricting their use of personal information to specified business purposes.

•      Affiliated companies: New Charter Technologies, Inc., the parent company of Element, and its other operating companies, for internal business operations, shared technology infrastructure, and centralized support functions.

•      Legal and regulatory authorities: when required by law, subpoena, court order, or governmental authority, or when we believe disclosure is necessary to protect the rights, property, or safety of Element, our clients, or others, or to investigate, establish, exercise, or defend legal claims.

•      Business-contact data and enrichment vendors: we may obtain business-contact information from third-party contact-data providers for outbound marketing purposes.

•      Business transfers: in connection with a merger, acquisition, sale of assets, or similar transaction, your information may be transferred to a successor entity, subject to equivalent privacy protections.

6. Your Privacy Rights (California Residents)

If you are a California resident, you have the following rights under CCPA/CPRA with respect to personal information Element has collected about you in a consumer capacity:

•      Right to Know: you may request that we disclose the categories and specific pieces of personal information we have collected about you, the categories of sources, the business or commercial purposes for collection, and the categories of third parties with whom we have shared your information.

•      Right to Data Portability: you may request a copy of the personal information we hold about you in a portable and, to the extent technically feasible, readily usable format.

•      Right to Delete: you may request that we delete personal information we have collected about you, subject to certain exceptions permitted by law.

•      Right to Correct: you may request that we correct inaccurate personal information we maintain about you.

•      Right to Opt Out of Sale or Sharing: we do not sell personal information for monetary consideration. We may share personal information with analytics platforms in a manner that may constitute "sharing" under CCPA/CPRA. You may opt out of such sharing through the consent banner on our Website or by submitting a request to [email protected].

•      Right to Opt Out of Targeted Advertising: we do not engage in cross-context behavioral advertising or retargeting. This right therefore does not currently apply, but we will update this Policy if our practices change.

•      Right to Limit Use of Sensitive Personal Information: we do not collect sensitive personal information as defined by CPRA through the Website or standard service processes. This right therefore does not currently apply.

•      Right to Non-Discrimination: we will not discriminate against you for exercising any of the rights described in this section.

Note for business contacts: CCPA/CPRA rights apply to California residents acting in a consumer capacity. Information collected in the context of a business-to-business transaction (e.g., information about employees or representatives of client companies) is subject to different CPRA provisions and may be handled under the terms of our service agreements.

We will acknowledge your request within 10 business days and respond substantively within 45 calendar days of receipt. If we need additional time, we will notify you of the extension and the reason for it, up to a maximum of 90 days total. We may ask you to verify your identity before processing your request. To verify your identity, we may ask for your first name, last name, and phone number or email address.

You may designate an authorized agent to submit a request on your behalf. We may require written authorization from you and may verify your identity directly before processing the request.

8. Data Retention

We retain personal information for as long as necessary to fulfill the purposes for which it was collected, to comply with our legal obligations, resolve disputes, and enforce our agreements. General retention practices by category:

•      Website inquiry and CRM data: retained in HubSpot for the duration of the business relationship and a reasonable period thereafter, consistent with New Charter Technologies' enterprise CRM retention policies.

•      Support ticket and service delivery data: retained in ConnectWise Manage for the duration of the client engagement and for such additional period as required by applicable law or contractual obligation. For Client Systems data, retention is governed primarily by our agreements with our clients.

•      Call and communication records: retained for the period necessary to address the subject matter of the communication and as required by applicable law.

•      Website analytics data: retained subject to the default retention settings of each analytics provider (as applicable to any analytics providers we deploy; Element does not currently operate a dedicated web-analytics tool on its public websites) and adjustable through those platforms' administrative settings.

•      Server logs: hosted by Squarespace and retained for server-side error logging purposes only. Consent-tracking logs are not currently generated at the server level.

9. Data Security

We implement commercially reasonable administrative, technical, and physical safeguards to protect personal information against unauthorized access, disclosure, alteration, or destruction. These measures include access controls, encryption in transit, monitoring systems, endpoint management tools, and security event detection technologies, calibrated to the nature of the personal information and the threats posed.

Element provides managed IT services and technology consulting to law firms, corporate legal departments, and other professional-services organizations and applies those same professional standards to our own internal security practices. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Where Element acts as a business associate under the Health Insurance Portability and Accountability Act (HIPAA), we handle protected health information in accordance with our obligations under applicable Business Associate Agreements and HIPAA's Security and Privacy Rules.

10. Children's Privacy

Our Website and services are directed to businesses and their adult representatives. We do not knowingly collect personal information from individuals under the age of 16. If we become aware that we have collected personal information from a person under 16 without appropriate consent, we will delete that information promptly.

11. Third-Party Links

Our Website may contain links to third-party websites. We are not responsible for the privacy practices or content of those websites and encourage you to review their privacy policies before providing any personal information.

12. International Data Transfers

Element is based in Minnesota, and we process personal data of individuals in the United States. Where we process personal data of individuals located in the European Union or United Kingdom, we do so as a data controller (for our own contacts and prospects) and as a data processor (when acting on behalf of business clients). We rely on the Standard Contractual Clauses (EU 2021/914) and, for UK data, the UK International Data Transfer Addendum (IDTA), as our transfer mechanisms for cross-border transfers to the United States.
